VM not happy upgrading from 2003 Svr to 2008 R1 Enterprise when on the network


i have dell 2950 running 2008 r1 svr ent sp2. hosts 4 vms of them running 2003 server. work fine in setting. i'm trying upgrade 1 of them, web server,  2008 r1 ent. i've tried many variations, seems place on network, gets little corrupted. furthest got leaving vm off net , 2008 , 2008 sp2, rebooted, placing vm on net download 90 or updates , corrupt state not open network properties, dtc, server service won't start, nic icon in tray show disconnected, among other things. every time try , reconnect net vm @ different point of upgrade, end in state.

my last attempt, kept net connected beginning using legacy nic no integ serv tools installed.
2008 ent (upgrade) installed fine , first time after upgrade loads gui fine, once rebooted again, while connected net, returns state, time hung on applying user settings...

new hyper-v, used vmware, understand concepts. missing obvious should doing when upgrading os's under hyper-v?

the server behaved same way once moved physical server. so, wasn't hyper-v issue.
fix me in 2003 server. @ command prompt, entered 'set devmgr_show_nonpresent_devices=1', entered 'devmgmt.msc', , selected view - show hidden devices. there, removed old devices no longer in use. rebooted , upgrade went smoothly after that.
mod, feel free delete or move feel necessary.
